1. Introduction

Welcome to BattlePeer, a telehealth app that connects mentors (also referred to as therapists) and mentees to provide mental health support through group and direct chat, one-on-one video calls, and daily check-ins. BattlePeer Corp is a Wisconsin-based corporation with the legal name BattlePeer Corp. By accessing and using our services, you agree to be bound by the terms and conditions set forth in this agreement.

2. Eligibility

To use our services, you must be at least 18 years old and capable of forming a legally binding agreement. By using our services, you represent and warrant that you meet these eligibility requirements.

3. Use of Services

BattlePeer provides a platform for mentees and mentors to connect and communicate. Our services are intended solely for mental health support, and we do not provide medical advice. You acknowledge and agree that any information or content provided through our services is for informational purposes only and should not be considered medical advice. You should always consult with a licensed medical professional for any medical concerns.

4. User Content

You retain ownership of any content you upload, share or transmit through our services. By uploading, sharing, or transmitting any content, you grant BattlePeer a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use, copy, modify, create derivative works based on, distribute, publicly display, publicly perform, and otherwise exploit in any manner such content in all formats and distribution channels now known or hereafter devised (including in connection with the services and BattlePeer’s business and on third-party sites and services), without further notice to or consent from you, and without the requirement of payment to you or any other person or entity.

5. Payment and Fees

You agree to pay any applicable fees for our services, which will be clearly outlined prior to your purchase of any service. By purchasing any of our services, you authorize BattlePeer to charge your payment method for the fees associated with that service. All fees are non-refundable.

6. Intellectual Property

All content included in or made available through our services, such as text, graphics, logos, images, audio clips, digital downloads, and data compilations is the property of BattlePeer Corp or its content suppliers and is protected by United States and international copyright laws. You may not use any BattlePeer intellectual property without our prior written consent.

7. Disclaimer of Warranties

Our services are provided “as is” and without warranty of any kind, whether express, implied, or statutory, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. BattlePeer does not warrant that our services will be uninterrupted, error-free, or completely secure.

8. Limitation of Liability

To the maximum extent permitted by applicable law, BattlePeer and its affiliates, directors, officers, employees, agents, and licensors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of our services.

9. Indemnification

You agree to indemnify and hold BattlePeer Corp and its affiliates, directors, officers, employees, agents, and licensors harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your breach of these terms or your violation of any law or the rights of a third party.

10. Governing Law and Jurisdiction

These terms and conditions, as well as any dispute arising from or related to your use of our services, shall be governed by and construed in accordance with the laws of the State of Wisconsin without regard to its conflict of law provisions.

You agree that any legal action or proceeding between you and BattlePeer Corp shall be brought exclusively in the federal or state courts located in the State of Wisconsin, and you consent to the jurisdiction of such courts.

11. Termination

BattlePeer reserves the right, in its sole discretion, to terminate your access to all or any part of our services at any time, with or without notice, for any reason, including, without limitation, breach of these terms.

12. Modification of Terms

BattlePeer Corp reserves the right to modify these terms and conditions at any time without notice. By continuing to use our services after any changes have been made to these terms, you agree to be bound by such changes.
